Brief Report of Annual General Meeting

On Thursday evening, 16 November, Darlington FC Supporters Group held their third Annual General Meeting since becoming a single entity.

The meeting was quorate with 87 members in attendance. An additional 52 members had appointed proxies.

Chair, Joanne Cameron opened the meeting and thanked everyone for attending and then introduced the fellow board members in attendance.

Secretary Neil Raper confirmed that 61 members had submitted their apologies for absence.

The Secretary read out the Committee Report, which accounted for the Supporters Group’s activities over the past 12 months (members had been emailed with a link in advance of the meeting to enable to members to download the Committee Report and draft accounts).

The order of the agenda for the meeting had changed slightly to the one included in the notification of the AGM and brought forward the item covering the election of Board Directors to provide more to time to collate the ballot results because of the large number of nominations.

The Chair introduced the nominees for the seven vacancies on the DFCSG board to the meeting and they were each given the opportunity to address the meeting with a personal statement. The meeting was then invited to complete their ballot forms.

Treasurer, Andrew Matthews presented the accounts of the Supporters Group to the meeting. The headline figures were that the Supporters Group turnover had increased from £48,158 to £84,175 over the previous year that generated an operating surplus of £29,593. The Supporters Group had increased their investments in Darlington Football Club by £87,134 [including £57,134 via the share exchange facility that formed part of the first Community Share offer] and now totalled £248,790.

Other notable figures were:

Membership subscriptions had increased from £11,170 to £16,445 over the previous year;Lottery income increased from £20,395 to £30,131, resulting in a donation of £16,915 to Darlington Football Club.

The meeting unanimously accepted the accounts.

The Board proposed to apply the surplus to allocating £4,000 to the Community Share repayment fund and the remainder to supporting any shortfalls in the fundraising streams for the new seated stand and this was accepted by the members.

The meeting unanimously accepted the Board’s recommendation to disapply the rule requiring the appointment of Auditors and to re-appoint Sochall Smith as the Supporters Group’s ‘Independent Examiners’ for the coming year.

The meeting unanimously provided the new board with a mandate to vote in favour of the resolutions to be presented to shareholders at the forthcoming Annual General Meeting of Darlington Football Club (date pending) to re-appoint John Tempest and David Johnston as directors of Darlington 1883 Limited.

The result of the ballot confirmed that the following nominees were duly elected to the board of the Supporters Group:

    David Collinge
    Malcolm Cundick
    Lee Kilcran
    Andrew Matthews (re-elected)
    Chris Stockdale
    Tony Waters

Commiserations were conveyed to the unsuccessful nominees. However, Neil Raper made it clear that the board would welcome the support of the unsuccessful nominees going forward.

Following the close of the formal business, special guest David Johnston, Director and CEO of Darlington Football Club addressed the meeting and gave an insight to the current activities as Tommy Wright and Alan White refresh the team.

This was followed by an informal Q&A session. The meeting closed after giving thanks to Joanne Cameron for all her efforts during her time as Interim Chair.

The DFCSG - strengthening the roots of our club

The DFCSG created and manage the B2D fund, which is funding available to help establish the Club back in Darlington. The fund acts as the primary collection pot for monies raised from direct donations and events organised by the DFCSG Fundraising Group.

Of course, there are many ways in which you can help the club directly but, if you’re specifically looking for a quick and easy way to support the establishment of a solid foundation for the Club in its new home, then it only takes a few minutes to set up a one-off or regular donation to the B2D Fund either by your online or high street banking service.

  • Buying a Season Ticket helps to provide the Manager with additional funding needed to strengthen the team at the start of each new season
  • Attending matches provides the club with a constant stream of money throughout the season, from additional match-day ticket sales and revenues from catering and other sales (e.g. programme sales, match-day raffle tickets, 50:50 match-day draw, Club merchandise).
  • The Come On Darlo Prediction League is a fun way to add a little bit of an edge to your season - use your skill and judgement to predict how we and the other local clubs will do in the coming season, and who will be the big winners and losers nationally, come the end of the season.
  • The Sponsor a Goal scheme is a fan-run initiative which has raised over £8000 for the Club since it began in season 2012-13.
  • For as little as £5/month the DFC Fans Lottery Draw provides you with the chance to win either £50 in each weekly draw, or even more in the monthly Super Draw. The Lottery has raised more than £10,000 for the Club over the past 12 months.
  • The Fundraising Group runs a series of entertainment fundraising events over the year, the proceeds of which go into the B2D fund.

Darlington FC Supporters Group holds approximately 62% of the equity of Darlington Football Club and is therefore the major shareholder as well as being the Corporate Director of Darlington Football Club 1883 Ltd.
